Femi is a senior associate in the Corporate/Commercial Department of the Firm. He holds a Bachelor of Laws Degree from the University of Lagos and was called to the Nigerian Bar in 2001. Femi's areas of practice includes energy, project finance, general Corporate / Commercial law Practice and infrastructure.
Prior to joining Gbenga Biobaku & Co., Femi was involved with an Infrastructure Consulting Group where he was in charge of rendering advisory services on major infrastructural privatisations and regulatory initiatives especially in the transport sector. He also has extensive experience in Regulatory and Compliance issues as they relate to doing business in Nigeria.
Transactions of note on which Femi has acted include:
- The drafting of a syndicated $80 million finance facility among a club of Nigerian banks, an indigenous oil service firm and Afreximbank.
- Advising and assisting a multinational company in setting up of a multi-million dollar international pharmaceutical facility in Nigeria.
- Providing Tax planning and related advisory services to Rivers Vegetable Oil Company (RIVOC) one of the largest manufacturing plants for the production of vegetable oil, soaps and detergents in West Africa.
- Drafting and review of a Greenfield RORO Port development Agreement on a Build Own Operate and Transfer (BOOT) basis.
- Acting as part of the technical and legal review team that advised on the concessioning of the Lagos and Apapa Port Complexes by the Bureau of Public Enterprises (BPE)
Drafting of the Inland Container Depot (ICDs) Agreement on a BOOT basis.
- Conducted risk review analysis of the Inland Container Depot project.
- Advising Skye Bank Plc in respect of a USD75million syndicated petroleum products receivables pre-financing facility.
- Advising and assisting Statoil in respect of farm-in arrangements into an offshore block in Nigeria.
- Acted as part of the team that conducted legal, technical and diagnostic review of the National Inland Waterways Authority and its enabling law and regulations with a view to re-positioning the Authority for a privatised regime.
- Advising DWC Drilling on a number of drilling contracts with operators in the Nigerian oil and gas Industry and assisting with the negotiations.
- Advising TABA Nigeria Limited in respect of an Engineering Procurement and Construction contract with NNPC relating to a power plant and advising and assisting with the structuring and documentation of the various subcontracting and the financing arrangements.
- Advising and assisting operators and contractors on a variety of employment and labour issues in connection with oil and gas operations.
- Advising and assisting Parker Drilling in the negotiation and documentation of various support services agreements relating to drilling operations in Nigeria.
- Advising and assisting Parker Drilling in the processing of various regulatory approvals and permits relating to drilling operations in Nigeria.
- Analysing and providing legal opinions on various issues arising in the course of Petroleum Operations.
- Analysing and providing legal opinions in respect of matters relating to Joint Operating Agreements (JOAs).
- Analysing and providing legal opinions in respect of matters relating to Production Sharing Contracts (PSCs).
- Analysing and providing legal opinions in respect of tax issues and fiscal matters relating to oil and gas projects and petroleum operations.
